Terms of Service

1. Introduction

Welcome to VAG Protection ("we", "us" or "our"). These Terms of Service ("Terms") govern your access to and use of the services, website and related products (collectively, the "Service"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Services

VAG Protection provides anti-piracy, brand protection, content monitoring, takedown support, investigations and related services. The scope of services purchased by a customer will be set out in a separate agreement, proposal or order form ("Customer Agreement"). These Terms apply to the extent not inconsistent with any signed Customer Agreement.

3. Registration & Accounts

  1. Account holders must provide accurate, complete information and keep it up to date.
  2. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  3. We may suspend or terminate accounts that violate these Terms or for suspected abuse.

4. Acceptable Use

You agree not to use the Service to:

  1. Violate any applicable law or third-party rights;
  2. Transmit malicious code, malware, or otherwise attempt to interfere with the Service's operation;
  3. Access or attempt to access any data or accounts that you are not authorized to access;
  4. Use the Service for resale, monitoring (unless contracted) or any purpose not permitted under your Customer Agreement.

5. Intellectual Property

All intellectual property rights in the Service (including software, data, reports, trademarks and documentation) are and will remain our exclusive property or the property of our licensors. You are granted a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and any Customer Agreement. You must not copy, modify, distribute, create derivative works of, or reverse engineer the Service except as expressly permitted by us in writing.

6. Customer Data & Privacy

"Customer Data" means data you provide or authorize us to collect in connection with the Service. We process Customer Data in accordance with our Privacy Policy. You retain ownership of Customer Data; by submitting Customer Data you represent you have the right to provide it and to permit us to process it for the purposes of providing the Service.

7. Takedown Requests & Enforcement

We may issue DMCA or other takedown notices, preservation requests, or enforcement actions on your behalf where authorized under a Customer Agreement. While we use commercially reasonable efforts to seek removal or blocking of infringing content, we cannot guarantee the complete or permanent removal of any content from third-party platforms or networks.

8. Fees & Payment

Fees for the Service are set forth in the applicable Customer Agreement or order form. Unless otherwise stated, fees are non-refundable. Late payments may incur interest and suspension of services. You are responsible for all taxes associated with the Service, except taxes based on our net income.

9. Confidentiality

Each party will keep confidential the other party's Confidential Information and will not disclose it except to permitted recipients or as required by law. Confidential Information includes non-public business information, technical information, Customer Data, pricing, and terms of agreements.

10. Warranties & Disclaimers

We provide the Service on an "as is" and "as available" basis. Except as expressly provided in a Customer Agreement, we disclaim all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely effective against all piracy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will VAG Protection or its affiliates be liable for indirect, incidental, consequential, special, punitive or exemplary damages (including lost profits, loss of business, or data loss), even if advised of their possibility. Our aggregate liability for direct damages arising from or related to these Terms or the Service will not exceed the total fees paid by you to us under the applicable Customer Agreement in the 12 months preceding the claim. The foregoing limitations will not apply to liability resulting from fraud, willful misconduct, or liability that cannot be limited by law.

12. Indemnification

You agree to indemnify, defend and hold harmless VAG Protection and its officers, directors, employees and agents from and against any third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of applicable law or third-party rights.

13. Termination

We may suspend or terminate your access to the Service for breach of these Terms, suspected illegal activity, or for any reason with reasonable notice where no Customer Agreement exists. Upon termination, sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Limitation of Liability and Indemnification) will remain in effect.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of São Paulo, Federative Republic of Brazil, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms shall be brought exclusively in the courts of São Paulo, Brazil, and you and we each submit to the personal jurisdiction of those courts.

15. Changes to These Terms

We may modify these Terms from time to time. If we make material changes we will provide notice (for example via the Service or by email) before the changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the new Terms.

16. Entire Agreement

These Terms, together with any Customer Agreement, order form and our Privacy Policy, constitute the entire agreement between you and VAG Protection regarding the Service and supersede all prior agreements and understandings.
